Global Terms of Use &
Master Service Agreement
These legally binding terms govern all access to KyrosPub, our digital research vault, whitepaper syndication services, and associated enterprise APIs.
BY ACCESSING, BROWSING, DOWNLOADING PUBLICATIONS, OR UTILIZING THE KYROSPUB PLATFORM OPERATED BY KYROSB2B.COM INC., YOU AGREE TO BE UNCONDITIONALLY BOUND BY THIS MASTER SERVICE AGREEMENT AND TERMS OF USE. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A CORPORATE ENTITY, YOU REPRESENT THAT YOU POSSESS STATUTORY AUTHORITY TO BIND SUCH ENTITY.
01. Acceptance & Contractual Binding
These Terms of Use ("Terms" or "Agreement") constitute a legally binding agreement entered into by and between you (whether individually as a corporate executive, researcher, or on behalf of an enterprise entity, "User") and KyrosB2B.com Inc. ("Company," "KyrosPub," "we," "us," or "our").
This Agreement applies to all web properties, subdomains, mobile applications, publication databases, gated lead forms, and API endpoints owned or operated under the KyrosPub brand. Electronic acceptance via platform browsing, account creation, or submission of gated content forms satisfies all legal requirements under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and European Regulation (EU) No 910/2014 (eIDAS).
02. Platform Architecture & Scope of Services
KyrosPub functions as a high-tier B2B digital publishing vault and content distribution network. We provide an enterprise library containing whitepapers, technical benchmarks, eBooks, case studies, and market reports ("Content").
Our platform operates under a dual-audience framework:
A. For Enterprise Decision-Makers
Free, frictionless access to vetted B2B technical publications in exchange for professional identity registration, empowering corporate leaders with verified research.
B. For Content Syndicators & Sponsors
A global distribution and demand generation infrastructure to publish, amplify, and syndicate corporate research to qualified B2B decision-makers worldwide.
03. Identity Verification & User Accounts
To access gated whitepapers or utilize syndication tools, Users must provide authentic, verifiable professional details. You warrant and represent that:
- All registration information provided (full name, corporate email, job title, company name) is accurate, current, and truthful.
- You are strictly prohibited from utilizing disposable email addresses, generic personal webmails, alias accounts, or impersonating third-party executives.
- You maintain full responsibility for preserving password security and restricting unauthorized access to your account credentials.
04. Intellectual Property & Limited License
All platform architecture, custom UI components, source code, databases, taxonomy engines, search algorithms, logos, and trademarks (including "KyrosPub" and "KyrosB2B.com") are the exclusive intellectual property of KyrosB2B.com Inc. protected under United States and international copyright, trademark, and trade secret laws.
Granted User License
Subject to compliance with these Terms, KyrosPub grants Users a personal, limited, non-exclusive, non-transferable, revocable license to view, download, and store single copies of publications for internal business evaluation and educational research purposes.
Prohibited Acts: You shall not modify, decompile, reverse-engineer, sell, license, scrape, bulk-extract, or commercially exploit any publications or platform infrastructure without explicit prior written authorization from KyrosB2B.com Inc.
05. B2B Syndication & Sponsor Lead Terms
KyrosPub operates an enterprise-funded research syndication model. By requesting download access to any publication designated as "Sponsored" or provided by an enterprise partner, you acknowledge and agree that:
- Your submitted corporate contact information constitutes legitimate business lead information provided in exchange for complimentary research access.
- KyrosPub will securely transmit your identity metadata to the specific enterprise Sponsor that authored or funded the publication.
- The Sponsor receives independent Data Controller rights to contact you regarding the subject matter of the whitepaper, subject to its privacy policy and anti-spam regulations (CAN-SPAM, CASL, ePrivacy Directive).
- KyrosPub disclaims all liability for independent communications, commercial offers, or contractual relationships established between you and third-party Sponsors.
06. Acceptable Use & Anti-Scraping Policy
You agree to access KyrosPub strictly through designated browser interfaces and approved API credentials. The following activities are strictly prohibited and constitute a material breach of contract:
07. Third-Party Content & Research Disclaimer
Publications hosted on KyrosPub represent the independent findings, opinions, and benchmarks of third-party authors and enterprise sponsors. KyrosPub conducts editorial quality review but does not independently audit, guarantee, or endorse the factual accuracy, financial forecasts, or technical claims contained within third-party whitepapers.
08. Comprehensive Disclaimer of Warranties
THE KYROSPUB PLATFORM, SERVICES, AND ALL SYNDICATED PUBLICATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, KYROSB2B.COM INC. EXPRESSLY DISCLAIMS ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, SECURITY, AND NON-INFRINGEMENT.
09. Limitation of Liability & Damages Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KYROSB2B.COM INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF YOUR ACCESS TO OR INABILITY TO USE THE PLATFORM.
IN ALL CIRCUMSTANCES, THE AGGREGATE LIABILITY OF KYROSB2B.COM INC. FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF ONE HUNDRED US DOLLARS ($100.00 USD) OR THE TOTAL FEES PAID BY YOU TO KYROSPUB IN THE PRECEDING TWELVE (12) MONTHS.
10. Indemnification Obligations
You agree to defend, indemnify, and hold harmless KyrosB2B.com Inc., its corporate officers, directors, employees, and agents against any third-party claims, liabilities, costs, losses, or legal expenses (including reasonable attorney fees) arising from: (a) your violation of these Terms; (b) your unauthorized use or commercial exploitation of hosted research; or (c) fraudulent identity details submitted during publication access.
11. Governing Law & Choice of Forum
This Agreement and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to conflict of law principles.
The parties irrevocably submit to the exclusive jurisdiction and venue of the State and Federal Courts located in San Francisco County, California for the adjudication of all disputes.
12. Severability, Notice & Legal Desk
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
